Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the CountStand website and product (the “Service”) provided by CountStand (“CountStand”, “we”, “us”). By creating an account or using the Service, you agree to these Terms. If you are agreeing on behalf of a business, you confirm you are authorised to bind it.

1. The Service

CountStand is a subscription software platform for restaurants, point of sale, kitchen display, inventory, reporting, GST tooling and related features. Some features are gated by plan (see Pricing). Features described as “coming soon” are not part of the current Service and are provided without commitment on timing.

2. Accounts & eligibility

• You must provide accurate information and keep your account credentials secure.
• You are responsible for all activity under your account and for your staff users' compliance with these Terms.
• The Service is intended for businesses; you must be legally able to enter into a contract.

3. Free trial, subscriptions & billing

• We offer a 30-day free trial with no card required. If you do not subscribe, paid features stop at the end of the trial.
• Paid plans are billed monthly or annually in advance through our payment processor, Razorpay. By subscribing you authorise the applicable recurring charge.
• Prices are shown on the Pricing page and are exclusive of taxes unless stated. We may change prices with prior notice; changes apply from your next billing cycle.
• Cancellation, refunds and the trial are governed by our Refund & Cancellation Policy.

4. Acceptable use

You agree not to misuse the Service, including: breaking the law; infringing others' rights; attempting to breach security or tenant isolation; reverse-engineering except as permitted by law; reselling the Service without authorisation; or uploading malware. We may suspend accounts that put the Service or other customers at risk.

5. Your data

You own the data you and your guests put into the Service (“Customer Data”). You grant us a limited licence to host and process it to provide the Service. Our handling of personal data is described in our Privacy Policy. You are responsible for having a lawful basis to collect guest data and for the content you enter.

6. Availability & offline mode

We aim for high availability but do not guarantee uninterrupted service. The Service includes an offline mode so core billing can continue if your connection drops; syncing resumes on reconnect. Scheduled maintenance and third-party outages may affect availability.

7. Intellectual property

The Service, including its software, design and content (excluding Customer Data), is owned by CountStand and protected by law. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription.

8. Disclaimers

The Service is provided “as is” to the fullest extent permitted by law. We do not warrant that it will be error-free or meet every requirement. Tax, GST and compliance features are tools to assist you; you remain responsible for your own legal and tax compliance and should verify filings.

9. Limitation of liability

To the maximum extent permitted by law, CountStand is not liable for indirect, incidental or consequential losses, or loss of profits, revenue or data. Our total aggregate liability arising from the Service in any 12-month period is limited to the fees you paid us for the Service in that period.

10. Termination

You may stop using the Service and cancel at any time. We may suspend or terminate access for breach of these Terms or non-payment. On termination you may export your data for a reasonable period, after which it may be deleted subject to legal retention.

11. Governing law

These Terms are governed by the laws of India, and the courts at India have exclusive jurisdiction, subject to any mandatory consumer-protection rights.

12. Changes to these Terms

We may update these Terms; material changes will be notified in-product or by email. Continued use after changes take effect means you accept the updated Terms.
